Acceptance of these Terms
Pyrus Financial Inc., a Delaware corporation, provides its services and related content through the website at https://www.pyrusfinancial.com (the "Site," and together with the online application, account dashboard, and related services, the "Services"). Loans are originated and serviced by its subsidiary, Pyrus Credit LLC, a Delaware limited liability company and licensed lender (NMLS ID 2712962). In these Terms of Service (these "Terms"), "Pyrus," the "Company," "we," "us," and "our" refer to Pyrus Financial Inc. together with its subsidiaries and affiliates, including Pyrus Credit LLC. Your counterparty under any loan is Pyrus Credit LLC, as set out in your Loan Agreement (defined below).
By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.
We may change or modify these Terms at any time in our sole discretion. If we do, we will post the changes and update the effective date above, and we may notify you through the Services, by email, or by other reasonable means. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services. If you register for or use the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN AGREEMENT TO ARBITRATE AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. EXCEPT WHERE PROHIBITED, THEY REQUIRE THAT DISPUTES BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT IN COURT OR BEFORE A JURY, AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.
Incorporated terms
The following Pyrus terms are incorporated into these Terms by reference: our Privacy Policy, Risk Disclosure Statement, Disclaimers, Digital Asset Transaction Account Terms, and Ineligible Jurisdictions. Some Services may be subject to additional terms ("Additional Terms"), which are incorporated when you use those Services. If there is a conflict between these Terms and any Additional Terms, the Additional Terms control for the applicable Service. Your "Loan Agreement" (the Bitcoin Equity Loan and Security Agreement and its schedules) is an example of Additional Terms and controls with respect to your loan.
About the Services
Pyrus offers a fixed-rate, closed-end U.S. dollar installment loan used to purchase Bitcoin (the "Bitcoin Equity Loan"). In general, you make a down payment toward the purchase price of a stated quantity of Bitcoin, Pyrus finances the remainder, and the Bitcoin is purchased on your behalf and held as collateral until your loan is repaid in full, at which point it is returned to you. A Bitcoin Equity Loan is not a margin loan, a line of credit, or a Bitcoin-backed loan, and a decline in the price of Bitcoin does not trigger a margin call, require additional collateral, or accelerate your loan. The complete terms of any loan, including the amount financed, interest rate, annual percentage rate, fees, payment schedule, collateral, and remedies, are set out in your Loan Agreement and the disclosures delivered with it. This summary is for convenience only and does not modify any Loan Agreement.
Loans; eligibility; where we lend
Loans are subject to your Loan Agreement, eligibility, identity verification, underwriting, and applicable law, and approval is in our sole discretion. You must be at least 18 years old and have the capacity to enter into a binding contract. We provide loans to eligible individuals and businesses in supported jurisdictions, subject to state-specific requirements and restrictions. The current list of supported jurisdictions appears on our Ineligible Jurisdictions page and is subject to change. If you do not see your jurisdiction supported, you may email support@pyrusfinancial.com.
Registration and identity verification
To access certain features, you may be required to register and to provide accurate, current, and complete information about yourself, and to keep it updated. We collect and verify your personal and financial information, and we may obtain information from third parties to verify your identity, evaluate your application, and prevent fraud. Such information may include your name, address, Social Security or taxpayer identification number, date of birth, and financial account information. You authorize us, and the service providers we designate, to take the measures we consider necessary to verify and authenticate this information and to act on the results, including obtaining one or more consumer reports as permitted by the Fair Credit Reporting Act. Your information is handled in accordance with our Privacy Policy.
Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@pyrusfinancial.com of any unauthorized use or suspected security breach, and to sign out at the end of each session. We are not liable for any loss arising from your failure to comply with this section.
Acceptable use
You agree not to use the Services to: violate any applicable law or regulation; provide false or misleading information; infringe the rights of others; upload viruses or malicious code; interfere with or disrupt the Services or related networks; attempt to gain unauthorized access to any account or system; impersonate any person or entity; harvest information about other users; or use any robot, scraper, or similar means to access the Services other than through interfaces we provide. We may investigate and take appropriate action, including removing content, suspending or terminating accounts, and referring matters to law enforcement.
Modifications; availability
We may modify, suspend, or discontinue the Services, in whole or in part, at any time with or without notice, and we are not liable to you or any third party for doing so. Access may be interrupted, delayed, or unavailable from time to time, including during periods of high volatility or volume, and we do not guarantee that the Services or any transaction will be available, uninterrupted, or error-free. Modifying or discontinuing the Services does not affect your obligations under any outstanding Loan Agreement.
Electronic signatures and communications consent
By using the Services, you agree that your electronic signatures, acknowledgements, and agreements made through the Services are as legally binding as if made in writing. You consent to receive all agreements, notices, disclosures, and other communications from us electronically, including by posting to the Services or by email, and you agree that electronic delivery satisfies any legal requirement that such communications be in writing, to the fullest extent permitted by the federal E-SIGN Act and applicable state law. To access and retain electronic records, you need a device with internet access, a current browser, an email account, and the ability to view and save PDF and HTML files. You may withdraw your consent or request a paper copy of a specific record by contacting support@pyrusfinancial.com; withdrawing consent may prevent you from using some or all of the Services. Please keep your contact information current.
Telephone and text message consent
By providing a telephone number, you consent to be contacted by Pyrus and its affiliates and service providers at that number for servicing, collection, fraud-prevention, informational, and, where permitted, marketing purposes, including by automated dialing, prerecorded or artificial voice messages, and text messages, and on a recorded line, even if the number is on a do-not-call list. Consent to marketing contact is not a condition of any loan. Message and data rates may apply. You may reply STOP to cancel text messages or HELP for help, and you may opt out of marketing at any time. You may continue to receive non-marketing service messages while your account or loan is active.
Intellectual property
The Services and all content, features, software, and the look and feel of the Site (the "Company Materials") are owned by Pyrus or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, sell, frame, scrape, reverse engineer, or create derivative works from the Company Materials except as expressly permitted. "Pyrus," "Pyrus Financial," and related names and logos are our marks and may not be used without our prior written permission. Any feedback you provide is non-confidential, and you grant us a perpetual, royalty-free, worldwide, transferable, sublicensable license to use it for any purpose without restriction or compensation.
Third-party services
The Services rely on, and may link to, third-party services and websites, including payment processors, identity-verification and bank-data providers, and a qualified third-party custodian. We provide these for convenience and do not control or endorse them, and we are not responsible for their content, practices, or performance. Your use of a third-party service is governed by that party's terms and privacy policy, and we are not liable for any loss arising from it. In the event a third-party agreement conflicts with your Loan Agreement, the Loan Agreement controls.
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pyrus, its affiliates, and their respective officers, directors, employees, service providers, licensors, and agents (the "Company Parties") from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.
Disclaimer of warranties
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY PARTIES DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY PRICE OR OTHER DATA WILL BE ACCURATE OR COMPLETE. This section does not affect any warranty or right that cannot be excluded under applicable law, and it does not limit your rights under a Loan Agreement or applicable consumer-protection law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
This section governs claims relating to the Services only. It does not limit, cap, or modify your or our rights and obligations under any Loan Agreement, which are governed by that agreement, and it does not limit any liability that cannot be limited under applicable law or your rights under applicable consumer-protection law.
Dispute resolution; binding arbitration
PLEASE READ THIS SECTION CAREFULLY. Claims arising out of or relating to a loan are governed by the arbitration agreement, jury-trial waiver, and class-action waiver in your Loan Agreement, which control for those claims. For all other disputes arising out of or relating to the Services or these Terms (each, a "Claim"), you and Pyrus agree as follows:
(a) Agreement to arbitrate. Except as provided below, any Claim will be resolved by final and binding individual arbitration, rather than in court, under the Federal Arbitration Act. Either party may instead bring an individual Claim in small claims court if it qualifies, and nothing here prevents either party from reporting matters to a government agency.
(b) Class action waiver. YOU AND PYRUS AGREE THAT EACH MAY BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary for that party's individual Claim.
(c) Pre-arbitration notice. Before starting an arbitration, the complaining party must send the other party a written notice describing the Claim and the relief sought (to Pyrus at the address in Section 19). If the dispute is not resolved within sixty (60) days, either party may commence arbitration.
(d) Procedures and costs. Arbitration will be administered by a recognized arbitration administrator, such as the American Arbitration Association, under its consumer arbitration rules, as modified by this section. Arbitration fees are governed by those rules, and we will pay or reimburse fees to the extent required to keep the arbitration from being cost-prohibitive for you.
(e) Severability; military. If the class action waiver is found unenforceable as to a Claim, that Claim will proceed in court, and the remainder of this section survives. This section does not apply to members of the U.S. armed forces or their dependents who are covered by the Military Lending Act.
Termination
We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including a violation of these Terms or suspected fraudulent or illegal activity. If we do, you remain responsible for repaying any outstanding loan balance under your Loan Agreement, and the provisions of these Terms that by their nature should survive will survive.
Governing law
Except for any arbitration, which is governed by the Federal Arbitration Act, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where the law of your state of residence or other applicable consumer-protection law governs and may not be waived. The law governing your loan is set out in your Loan Agreement and may be the law of your state of residence. For disputes not subject to arbitration, you and Pyrus submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable law provides otherwise.
General
These Terms, together with the documents incorporated by reference and any Loan Agreement, are the entire agreement between you and Pyrus regarding the Services and supersede all prior understandings on that subject. Our failure to enforce any provision is not a waiver of it. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them, in whole or in part, without restriction. Any claim relating to the Services must be filed within one (1) year after it arises, except where applicable law provides a longer period that cannot be waived. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control. Section headings are for convenience only, and "including" means "including without limitation."
